Terms of Service

Welcome to Bannds. These Terms of Service (“Terms”) govern your access to and use of the Bannds platform, including the Bannds website, mobile applications, software, digital tools, marketplaces, payment systems, messaging systems, monetization tools, promotional programs, social media features, audiovisual sharing features, and all related services (collectively, the “Platform”).

By accessing or using Bannds, creating an account, uploading content, enabling monetization, conducting transactions, receiving payouts, participating in rewards, or otherwise interacting with any feature of the Platform, you agree to be bound by these Terms, as well as any additional Bannds policies incorporated herein by reference, including but not limited to the Privacy Policy, DMCA Copyright Policy, Royalty & Payout Policy, Community Standards, and Artist Monetization Agreement.

If you do not agree to these Terms, you may not access or use the Platform.

Eligibility

To use Bannds, you must:

be at least eighteen (18) years of age
possess the legal capacity to enter into binding agreements
not be prohibited from using the Platform under applicable law
comply with all applicable local, state, federal, and international laws and regulations

Bannds reserves the right to refuse access to, suspend, restrict, or terminate any account that fails to satisfy these eligibility requirements.

User Accounts

Bannds may permit account registration for fans, artists, bands, venues, record stores, promoters, content sellers, advertisers, or other approved participant categories.

Users are solely responsible for:

maintaining the confidentiality of usernames and passwords
ensuring all registration information remains accurate and current
all activity occurring through their account
restricting unauthorized access to their devices, payment methods, or payout credentials

Users may not transfer, sell, rent, impersonate, sublicense, or otherwise misuse accounts.

Bannds reserves the right to suspend, investigate, limit, verify, or terminate any account in its sole discretion for security, fraud prevention, legal compliance, policy enforcement, or operational reasons.

User Content

The Platform permits users to upload, publish, distribute, sell, transmit, livestream, display, message, promote, or otherwise make available content including but not limited to:

sound recordings
musical compositions
videos, stories, reels, and livestreams
images, cover art, flyers, and photographs
merchandise listings
event listings and ticket offers
comments, posts, messages, and profile information
promotional materials and advertisements
fan footage
behind-the-scenes media
interviews and audiovisual promotional clips

Users are solely responsible for all content, metadata, descriptions, ownership claims, listings, communications, media, recordings, videos, and materials submitted through their accounts.

Bannds does not pre-screen all user content and does not guarantee the accuracy, legality, ownership, licensing status, or reliability of user-submitted materials.

License Granted to Bannds

By uploading, posting, distributing, selling, monetizing, messaging, livestreaming, or otherwise making content available on or through Bannds, users grant Bannds a non-exclusive, worldwide, sublicensable, transferable, royalty-free license to:

host
store
encode
stream
reproduce
display
distribute
promote
transmit
publicly perform
make available
advertise
excerpt
use in connection with operation, promotion, moderation, and improvement of the Platform

such content in all media formats, advertising channels, and distribution channels now known or later developed.

Users retain ownership of their underlying content subject to the rights granted herein.

Rights Warranty and Uploader Representations

Any user uploading, monetizing, distributing, selling, livestreaming, or otherwise exploiting content through Bannds represents and warrants that the user possesses and shall maintain all rights, permissions, licenses, authorizations, and consents necessary for such activity.

This includes, without limitation:

sound recording/master ownership or authorized exploitation rights
musical composition and publishing rights
mechanical licenses for cover songs
synchronization permissions for audiovisual content where applicable
master use permissions for audiovisual content where applicable
producer, instrumental, beat lease, and collaborator permissions
sample clearances and third-party audio usage rights
artwork, image, video, and likeness permissions
performer and neighboring rights consents
venue/event recording permissions where applicable
worldwide digital hosting, streaming, monetization, distribution, and promotional rights

Users further represent that:

all metadata submitted is accurate
all ownership claims are truthful
all collaborators and rights holders have been properly disclosed where required
Bannds may rely on such representations in processing monetization and payouts

Bannds may request contracts, licenses, proof of rights, split sheets, collaborator approvals, publishing details, tax information, identity verification, or other supporting documentation at any time.

Failure to provide satisfactory documentation may result in content removal, monetization suspension, withholding of earnings, payout reversals, account restrictions, or permanent termination.

Content Classification and Rights Disclosure

Users must accurately classify uploaded recordings, audiovisual materials, listings, or monetized content in the manner requested by Bannds, including whether such materials are:

original recordings
previously released recordings
label-distributed recordings
cover songs
sampled or derivative works
leased-beat or third-party instrumental works
remixes or edits
collaborative recordings
fan-shot recordings
livestreamed event footage
promotional audiovisual uploads

Bannds reserves the right to require enhanced verification, manual review, delayed monetization, restricted publication, or rights documentation for any content presenting ownership, licensing, payment, fraud, or legal risk.

Users acknowledge that inaccurate or incomplete classification may result in immediate demonetization, earnings freezes, content removal, or account termination.

Artist Monetization and Platform Earnings Eligibility

Eligible users may be permitted to earn revenue through monetization tools made available by Bannds, including but not limited to:

streaming activity allocations
fan tipping
subscriptions
merchandise sales
ticket sales
shoutouts
promotional campaigns
listener reward participation
creator content participation
other approved monetization features

Monetization access is a conditional privilege, not a guaranteed right.

Bannds reserves the right to approve, deny, suspend, restrict, delay, permanently revoke, reverse, claw back, or withhold monetization access or monetization proceeds in its sole discretion based on:

rights verification
payment processor compliance
fraud review
account trust history
tax compliance
legal claims
copyright risk
platform policy compliance
business or operational considerations

Participation on the Platform does not guarantee any minimum amount of earnings, exposure, visibility, streaming activity, fan support, promotion, or commercial success.

Additional monetization terms are governed by the Bannds Artist Monetization Agreement and Royalty & Payout Policy.

Platform Fees

Bannds may charge service fees, facilitation fees, advertising fees, listing fees, transaction fees, promotional fees, marketplace fees, or creator participation fees in connection with transactions conducted through the Platform.

Applicable fees may be disclosed at the point of transaction or within the relevant service interface.

Bannds reserves the right to establish, modify, increase, reduce, or discontinue fee structures at any time.

Payments, Third-Party Payment Processing, and Platform Facilitation

Bannds may facilitate certain financial transactions through third-party payment processors, payout processors, banking partners, or marketplace payment providers, including but not limited to Stripe, PayPal, and other approved providers.

Such providers may process or assist with:

payment acceptance
identity verification
know-your-customer procedures
tax reporting
payout disbursement
fraud monitoring
chargeback handling
reserve requirements
account holds or payment compliance reviews

Users may be required to enter into separate agreements with such providers as a condition of receiving payouts or conducting transactions.

Bannds acts solely as a platform facilitator and is not a bank, escrow holder, trustee, fiduciary, insurer, or financial institution with respect to user funds, pending balances, or anticipated earnings.

Bannds shall not be liable for payment delays, processor holds, payout failures, reserve requirements, verification restrictions, or other actions taken by third-party payment providers.

Pending Earnings, Payout Holds, Rolling Reserves, and Negative Balances

Any earnings, balances, estimated royalties, credits, rewards, or payout amounts displayed within the Platform are considered pending and provisional until finally released through Bannds-approved payout systems.

Bannds may delay, suspend, reserve, reduce, reverse, offset, freeze, or withhold any payout or pending earnings for reasons including but not limited to:

processor reserve requirements
fraud or suspicious transaction review
chargebacks, refunds, or payment reversals
copyright claims or ownership disputes
incomplete KYC or tax verification
rights documentation review
artificial streaming or rewards manipulation
legal compliance reviews
operational risk mitigation

Bannds may establish delayed payout schedules, rolling reserve percentages, minimum payout thresholds, probationary payout periods, or trust-tier payout release schedules in its sole discretion.

If previously released funds are later determined to be associated with fraud, ownership disputes, overpayments, chargebacks, payment abuse, infringement, or Terms violations, Bannds may offset such amounts against future earnings or seek reimbursement.

User accounts may carry negative balances until all such amounts are recovered.

Promotional Credits and Listener Rewards

Bannds may offer promotional credits, listener rewards, discovery rewards, ad-engagement rewards, referral balances, or other incentive balances for participation in designated Platform features.

Unless expressly stated otherwise by Bannds:

such credits are promotional in nature only
are not legal tender
do not constitute stored monetary value
do not create banking or custodial rights
are not redeemable except under Bannds-approved payout conditions
may be modified, suspended, reduced, canceled, withheld, or discontinued at any time

Bannds reserves the right to audit reward-generating behavior and to remove, reverse, deny, or permanently withhold reward balances associated with suspicious, manipulative, automated, fraudulent, or ineligible activity.

Artificial Streaming, Fraudulent Transactions, and Platform Manipulation

Users may not engage in any conduct intended to improperly generate, inflate, simulate, redirect, or receive Platform earnings, metrics, rewards, payouts, engagement statistics, or monetization benefits.

Prohibited conduct includes but is not limited to:

automated listening systems
stream farms
bot activity
artificial follower inflation
coordinated fake fan activity
self-tipping schemes
circular transactions
fake merchandise purchases
fraudulent shoutout requests
stolen card transactions
payment circumvention
scripted ad engagement
coordinated reward farming
artificial creator view inflation
manipulated reel/story engagement

Bannds may investigate, suspend, reverse, permanently withhold, cancel, or claw back any earnings associated with such activity.

Bannds reserves the right to cooperate with payment processors, legal authorities, financial institutions, and third-party investigators in connection with suspected fraudulent conduct.

Bannds respects copyright, trademark, publicity, and intellectual property rights.

Rights holders may submit claims pursuant to the Bannds DMCA Copyright Policy or other applicable reporting channels.

Bannds may remove, disable, mute, demonetize, suppress, or restrict access to allegedly infringing content upon receipt of valid notices or other credible claims.

Users who repeatedly upload unauthorized, infringing, disputed, improperly licensed, or high-risk content may have their accounts restricted, suspended, monetization revoked, or permanently terminated.

Bannds reserves the right to disclose relevant account records, transaction records, payment records, payout records, and uploader information to claimants, payment processors, or legal authorities where reasonably necessary or legally required.

13A. Audiovisual Uploads, Video Music Rights, Cover Performances, and Automated Copyright Enforcement

Users may upload, post, stream, distribute, or otherwise make available audiovisual content, videos, livestreams, rehearsal footage, interviews, fan-captured footage, behind-the-scenes media, promotional clips, or other recordings only where the user possesses all rights, licenses, permissions, and legal authorizations necessary for such digital publication, public display, distribution, and monetization.

This includes, where applicable:

synchronization rights
master use rights
publishing permissions
composition rights
performer consents
neighboring rights permissions
venue recording permissions
event capture permissions
visual likeness permissions
all other third-party intellectual property clearances

Users may not upload audiovisual content containing:

copyrighted commercial music
label-owned master recordings
television audio
film audio
radio broadcasts
unauthorized third-party sound recordings
unauthorized concert footage
fan-shot venue performances
cover song performances lacking required rights clearance
incidental or background copyrighted music
third-party protected visual media

The fact that a user personally filmed, recorded, performed in, appeared in, or captured audiovisual content does not eliminate the user’s obligation to secure all underlying music, publishing, synchronization, or intellectual property rights.

Bannds reserves the right, in its sole discretion and without prior notice, to:

mute audio
remove content
disable uploads
demonetize content
suppress visibility
restrict distribution
block livestreams
freeze associated earnings
terminate repeat infringers

where Bannds believes content may contain unauthorized copyrighted material or may otherwise expose the Platform to intellectual property liability.

Bannds may take such action whether or not a formal DMCA complaint, label notice, publisher notice, or rights holder claim has been received.

Bannds may utilize manual moderation, automated detection tools, metadata review, waveform recognition, rights holder reports, or discretionary internal review in identifying potentially infringing audiovisual uploads.

Users shall not be entitled to compensation, ad participation, rewards, visibility benefits, creator monetization, or promotional benefits derived from audiovisual content that is muted, removed, restricted, demonetized, or determined by Bannds to present copyright risk.

Bannds assumes no liability for the muting, removal, demonetization, suppression, or disabling of audiovisual uploads pursuant to this Section.

Rights Ownership Disputes, Documentation Requests, and Earnings Freezes

If Bannds receives competing ownership claims, copyright notices, label disputes, producer disputes, collaborator disputes, payment disputes, legal notices, or any other credible challenge relating to uploaded content or associated earnings, Bannds may in its sole discretion:

disable or remove the content
suspend public access
freeze or withhold associated earnings
reverse pending payouts
offset previously released funds against future earnings
require contracts, licenses, split sheets, rights documentation, or legal explanations from involved parties
maintain holds pending satisfactory review

Bannds is not obligated to independently adjudicate disputes between claimants and may maintain holds until Bannds determines, in its sole discretion, that adequate resolution has occurred.

Bannds shall not be liable for any losses, missed opportunities, withheld monetization, delayed payouts, or suppressed visibility resulting from such reviews.

Verification, Investigations, Audit Rights, and Information Requests

Bannds may at any time require users to provide documentation or information including but not limited to:

proof of identity
tax forms
banking verification
contracts or licenses
split sheets
publishing documentation
collaborator approvals
payment explanations
transaction support records
proof of merchandise fulfillment
event ticket verification
audiovisual rights documentation
other compliance-related materials

Bannds may conduct internal audits, monetization reviews, payment reviews, fraud reviews, rights reviews, moderation reviews, or safety investigations where Bannds reasonably suspects noncompliance, manipulation, infringement, or legal risk.

Failure to provide requested information within the required timeframe may result in:

payout holds
monetization suspension
content removal
listing restrictions
account termination

Unclaimed Funds, Dormant Accounts, and Compliance Retention

If pending earnings or payout balances remain unclaimed due to inactive accounts, failed payout setup, unresolved compliance issues, missing documentation, or inability to contact the user, Bannds may classify the account as dormant after a commercially reasonable period.

Bannds may continue to retain, hold, suspend, or process such balances in accordance with applicable payment processor rules, unclaimed property laws, legal compliance obligations, and internal administrative procedures.

Bannds may require re-verification or updated documentation before any dormant funds are released.

Bannds reserves the right to retain records associated with such balances for audit, fraud prevention, tax reporting, and legal defense purposes.

Community Standards, Prohibited Conduct, and Platform Discretion

Users may not upload, post, transmit, message, list, advertise, sell, solicit, or otherwise distribute any content, communication, or transaction through Bannds that:

infringes intellectual property rights
contains defamatory, knowingly false, abusive, threatening, harassing, or hateful material
impersonates persons, businesses, venues, labels, or artists
promotes scams, fake contests, deceptive promotions, or fraudulent listings
involves unauthorized ticket sales, counterfeit merchandise, or misleading marketplace offers
contains unlawful pornography, sexual exploitation, or prohibited adult content
exploits minors or encourages dangerous or illegal conduct
solicits prohibited off-platform payments where Bannds requires approved payment channels
interferes with Platform security, payment integrity, copyright compliance, or community safety

Bannds may investigate, remove, restrict, demonetize, shadow-limit, suspend, or terminate any content, communication, listing, or account in its sole discretion.

Bannds is not obligated to pre-screen all content but reserves full authority to moderate the Platform in order to maintain:

legal compliance
payment processor compliance
app marketplace compliance
advertiser compliance
community integrity
user safety

No Guarantee of Visibility, Discovery, Promotion, or Monetization

Bannds does not guarantee that any content, profile, listing, release, event, product, promotional campaign, story, reel, livestream, or creator upload will receive any minimum level of:

visibility
discovery placement
recommendation exposure
advertising support
user engagement
streaming activity
views
sales
fan tipping
subscriptions
monetization

Platform exposure and earnings are influenced by numerous factors including user behavior, moderation decisions, rights reviews, fraud controls, technical limitations, algorithmic testing, advertising availability, app marketplace restrictions, and evolving business decisions.

Users acknowledge that participation on Bannds creates no entitlement to audience growth, creator distribution, algorithmic placement, promotional support, or financial return.

Promotional Use License

In addition to the operational Platform license granted elsewhere in these Terms, users grant Bannds a non-exclusive, worldwide, sublicensable, royalty-free right to use publicly available usernames, artist names, profile images, cover artwork, merchandise images, song excerpts, event listings, public posts, screenshots, audiovisual snippets, stories, reels, and other publicly displayed Platform materials for purposes of:

advertising Bannds
promoting Platform features
social media marketing
editorial use
app marketplace displays
investor, sponsor, partnership, and business development presentations

Such promotional use shall not transfer underlying ownership of user content.

Data Retention and Survival of Records

Bannds may retain transaction records, payout records, moderation records, ownership claims, communications, metadata, tax documentation, payment processor notices, fraud reports, legal notices, copyright claims, audiovisual moderation records, and other account-related records for purposes of:

payment compliance
tax reporting
dispute resolution
legal defense
fraud prevention
audit support
business continuity

even if an account is deleted, suspended, terminated, or otherwise closed.

Account closure does not require Bannds to immediately destroy or erase records where retention is reasonably necessary.

Sales Tax and Marketplace Compliance

Bannds may collect, remit, facilitate, or assist with applicable sales tax, marketplace facilitator tax, value-added tax, digital service tax, or other transaction-based taxes where required by law, marketplace regulation, or processor policy.

Users remain responsible for any taxes, filings, duties, reporting obligations, or legal compliance obligations not expressly assumed by Bannds.

Bannds may require additional seller information, tax forms, or jurisdictional disclosures as a condition of continued marketplace participation.

Limitation of Liability and Disclaimer of Warranties

To the fullest extent permitted by law, Bannds, its owners, officers, affiliates, employees, contractors, licensors, partners, successors, and assigns shall not be liable for:

user-generated content
user disputes
intellectual property claims
audiovisual infringement claims
withheld, frozen, reversed, or delayed earnings
payment processor actions or payout failures
fraudulent transactions by users or third parties
deleted, muted, restricted, demonetized, or suppressed content
marketplace disputes
lost profits
lost data
lost business opportunities
reputational damages
indirect, incidental, consequential, punitive, or special damages

The Platform is provided on an “as is” and “as available” basis without warranties of uninterrupted service, security, profitability, visibility, merchantability, or fitness for a particular purpose.

Use of the Platform is at the user’s sole risk.

Indemnification

Users agree to defend, indemnify, and hold harmless Bannds, its owners, officers, affiliates, contractors, employees, licensors, partners, successors, and assigns from and against any and all claims, liabilities, damages, losses, judgments, settlements, fines, penalties, costs, and expenses (including attorneys’ fees) arising out of or related to:

uploaded or distributed content
ownership misrepresentations
infringement claims, including claims arising from audiovisual uploads containing unauthorized music, performances, or third-party media
payout disputes
fraudulent transactions
chargebacks
marketplace disputes
violations of these Terms
violations of law
third-party legal notices or claims arising from user conduct

This indemnification obligation shall survive account termination.

Arbitration, Class Action Waiver, and Individual Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to the Platform, these Terms, user earnings, monetization, payout activity, content removal, moderation decisions, muted content, demonetization decisions, audiovisual restrictions, or account termination shall be resolved exclusively through binding individual arbitration.

Users agree that:

no class actions may be brought
no collective proceedings may be brought
no mass arbitration filings may be pursued
no representative or coordinated claims may be asserted

Users waive any right to participate in class, collective, coordinated, or representative proceedings to the fullest extent permitted by law.

Force Majeure and Third-Party Dependency Failures

Bannds shall not be liable for delays, outages, payment interruptions, content unavailability, payout disruption, moderation delays, copyright review delays, audiovisual muting delays, data interruption, or service degradation caused by events beyond Bannds’ reasonable control, including but not limited to:

third-party payment processor failures
banking interruptions
cloud hosting outages
app marketplace restrictions
cyberattacks
telecommunications failures
automated moderation failures
legal compliance actions
governmental orders
natural disasters
labor disruptions

Termination, Changes to Service, Governing Law, and Survival

Bannds may suspend, restrict, mute, demonetize, disable, shadow-limit, or terminate any account, listing, upload, livestream, payout privilege, monetization privilege, or Platform feature at any time in its sole discretion.

Bannds may add, modify, restrict, suspend, or permanently discontinue any:

monetization tool
rewards system
payout structure
algorithmic discovery method
advertising format
audiovisual sharing feature
marketplace feature
community feature
Platform functionality

at any time with or without notice.

These Terms shall be governed by the laws of the State of Nevada, without regard to conflict-of-law principles.

negative balances
ownership disputes

audiovisual moderation
indemnification
arbitration
data retention
audit rights
limitation of liability

shall survive account termination or cessation of Platform use.
