Artist Upload & Rights Certification Agreement

Effective Date: 06/05/2026

This Artist Upload & Rights Certification Agreement (“Agreement”) governs any music upload, audiovisual upload, video upload, livestream publication, merchandise listing, event listing, monetized creator submission, or other content submitted to the Bannds platform for public display, streaming, sale, monetization, or distribution.

This Agreement forms part of and is incorporated into the Bannds Terms of Service, DMCA Copyright Policy, Royalty & Payout Policy, Privacy Policy, and Community Standards.

By uploading, submitting, publishing, or monetizing any content through Bannds, the uploading user (“Uploader”) expressly certifies and agrees as follows.

  1. Ownership and Rights Certification

Uploader certifies under penalty of account suspension, monetization forfeiture, and permanent removal that the Uploader owns or lawfully controls all rights necessary to upload, host, stream, display, distribute, monetize, and commercially exploit the submitted content through Bannds.

This includes, where applicable:

  • master recording rights
  • composition and publishing rights
  • mechanical rights
  • synchronization rights
  • master use rights
  • performer permissions
  • collaborator approvals
  • producer permissions
  • beat lease permissions
  • sample clearances
  • artwork permissions
  • visual media permissions
  • venue recording permissions
  • event recording permissions
  • all other necessary third-party permissions

Uploader certifies that Bannds may rely upon this certification in enabling publication, monetization, or payout processing.

  1. Cover Songs, Samples, Leased Beats, and Collaborative Recordings

If uploaded content contains:

  • cover songs
  • sampled recordings
  • leased or licensed beats
  • third-party instrumentals
  • co-written works
  • producer-owned works
  • collaborative ownership interests

Uploader certifies that all legally required licenses, splits, permissions, approvals, and disclosures have been obtained before upload.

Uploader acknowledges that merely performing or recording a cover song does not eliminate the need for required rights clearance.

Uploader further certifies that all collaborators entitled to revenue participation or ownership recognition have been properly accounted for outside or within Bannds as required.

  1. Audiovisual Uploads, Video Music Rights, and Background Audio Certification

If uploaded content includes videos, stories, reels, livestreams, fan footage, interviews, backstage media, promotional clips, or other audiovisual recordings, Uploader certifies that:

  • all underlying music rights are cleared
  • all synchronization permissions are secured
  • all master use permissions are secured
  • all visual media rights are secured
  • all performer consents are secured
  • all venue/event permissions are secured where applicable

Uploader specifically certifies that uploaded audiovisual content does not unlawfully contain:

  • copyrighted commercial music
  • background copyrighted music lacking authorization
  • fan-shot concert footage lacking rights clearance
  • television or film clips
  • radio broadcasts
  • third-party promotional footage
  • unauthorized label-owned recordings
  • third-party protected visual media

Uploader acknowledges that the fact the Uploader personally filmed, appeared in, recorded, or performed within audiovisual content does not eliminate the need for underlying intellectual property rights clearance.

  1. Truthfulness of Metadata and Ownership Information

Uploader certifies that:

  • all artist names are truthful
  • all song titles are accurate
  • all ownership claims are truthful
  • all release classifications are accurate
  • all collaborator information is accurate
  • all monetization information is accurate
  • all uploaded descriptions and metadata are not materially misleading

False metadata, false ownership certifications, or misleading uploader information may result in removal, monetization suspension, payout forfeiture, or permanent account termination.

  1. Bannds Rights Verification Authority

Uploader acknowledges and agrees that Bannds may at any time request:

  • licenses
  • split sheets
  • contracts
  • publishing records
  • distributor agreements
  • collaborator approvals
  • tax documents
  • identity verification
  • audiovisual permissions
  • legal explanations
  • any other supporting records Bannds reasonably deems necessary

Bannds may delay publication, restrict visibility, mute content, demonetize content, freeze earnings, suppress uploads, or permanently remove content pending satisfactory review.

Failure to provide requested documentation shall constitute grounds for immediate enforcement action.

  1. Copyright Detection, Automated Review, and Immediate Enforcement

Uploader acknowledges and agrees that Bannds may utilize:

  • automated audio recognition
  • waveform comparison tools
  • metadata analysis
  • manual moderation review
  • rights-holder reports
  • fraud monitoring systems
  • discretionary internal review

to identify potentially infringing or high-risk uploads.

Bannds may without prior notice:

  • mute content
  • suppress visibility
  • remove uploads
  • disable monetization
  • freeze pending balances
  • claw back previously credited balances
  • restrict future uploads
  • suspend or terminate accounts

where Bannds determines copyright, ownership, fraud, or legal risk may exist.

Bannds is not required to wait for a formal DMCA complaint before taking such action.

  1. Monetization Forfeiture and Payout Risk Acknowledgment

Uploader acknowledges that any pending or previously credited earnings associated with disputed, infringing, fraudulent, unsupported, or high-risk uploads may be:

  • withheld
  • frozen
  • reversed
  • clawed back
  • permanently forfeited
  • offset against future earnings

Uploader further acknowledges that upload approval or temporary monetization does not guarantee permanent payout entitlement.

  1. False Certification Penalties

Submitting content without adequate rights, submitting knowingly false ownership certifications, refusing Bannds documentation requests, abusing upload privileges, or repeatedly triggering rights disputes may result in:

  • upload removal
  • audiovisual muting
  • story/reel suppression
  • monetization termination
  • payout forfeiture
  • permanent account suspension
  • referral to rights holders
  • referral to payment processors
  • legal disclosure where appropriate

  1. Uploader Indemnification

Uploader agrees to defend, indemnify, and hold harmless Bannds, its owners, officers, affiliates, employees, contractors, successors, assigns, licensors, and partners from and against any and all claims, damages, liabilities, losses, settlements, judgments, fines, penalties, and expenses (including attorneys’ fees) arising out of:

  • false ownership certifications
  • infringing uploads
  • unauthorized audiovisual media
  • unauthorized music usage
  • collaborator disputes
  • monetization disputes
  • third-party intellectual property claims arising from uploaded content

  1. Agreement to Enforcement

By uploading, publishing, or monetizing content through Bannds, Uploader expressly agrees that Bannds may rely upon this Agreement in exercising all moderation, monetization, payout, copyright, fraud, and enforcement actions described throughout Bannds’ governing policies.
